Terms of Service

These Terms of Service ("Terms") govern access to and use of the Legal By Rose platform, websites, and related services (the "Service") provided by Rose Tech HQ ("Rose Tech HQ," "we," "us," or "our"). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them on behalf of yourself and the law firm or organization you represent ("Customer," "you").

If a separate written master agreement, order form, or data processing agreement is signed between you and Rose Tech HQ, that agreement controls where it conflicts with these Terms.

1. The Service

Legal By Rose is a software-as-a-service platform for legal practices, providing CRM, matter management, billing and trust tools, a financial ledger, reporting, and an assistive legal AI ("Rose Legal AI"). Rose Tech HQ is a technology company. It is not a law firm, does not practice law, and does not provide legal, accounting, or tax advice. Use of the Service does not create an attorney-client relationship with Rose Tech HQ.

We may update, improve, or modify the Service over time. Features described on our website or roadmap are subject to change.

2. Accounts, access, and authority

To use the Service you must create an account and may invite additional users within your firm. You represent that you have authority to bind your firm to these Terms and to administer user access on its behalf.

You are responsible for maintaining the confidentiality of credentials, for all activity under your firm's accounts, and for configuring user roles, permissions, and access controls appropriately. You agree to enable reasonable security measures, including multi-factor authentication where available.

Rose Tech HQ maintains a limited, audited platform-support capability that allows authorized personnel to access a firm's workspace to provision, support, train, and troubleshoot. Such access is role-restricted, logged in an append-only audit trail, and used only to operate and support the Service.

3. Customer data, confidentiality, and client privilege

As between the parties, you own all data you and your users submit to the Service, including client and matter data ("Customer Data"). You grant Rose Tech HQ a limited license to host, process, and transmit Customer Data solely to provide and support the Service.

Rose Tech HQ acts as a service provider/processor with respect to Customer Data. We implement tenant isolation so that each firm's data is segregated from others. We do not sell Customer Data, and we do not use Customer Data to train generative AI models for other customers.

You are responsible for ensuring your use of the Service is consistent with your professional and ethical obligations, including the preservation of attorney-client privilege and client confidentiality. Features that share case or file data with co-counsel operate only at your direction and under access controls you configure.

4. Acceptable use

You agree not to: (a) use the Service in violation of any law or applicable rules of professional conduct; (b) attempt to breach tenant isolation, access another firm's data, or circumvent security or access controls; (c) reverse engineer, decompile, or copy the Service except as permitted by law; (d) introduce malware or disrupt the Service; (e) use the Service to store or transmit infringing, unlawful, or harmful content; or (f) resell or provide the Service to third parties except as expressly permitted.

5. Rose Legal AI

Rose Legal AI provides assistive outputs such as drafts, summaries, suggestions, and monitoring alerts. These outputs are informational aids only, may be incomplete or inaccurate, and do not constitute legal advice.

You are solely responsible for independently reviewing and verifying all AI-assisted outputs before relying on or using them, and for exercising independent professional judgment. The licensed attorney retains full professional responsibility for all work product and for supervising the use of AI and nonlawyer assistance consistent with applicable rules of professional conduct.

Rose Tech HQ does not guarantee any particular result and is not responsible for decisions made in reliance on AI-assisted outputs.

6. Billing, trust, and financial tools

The Service includes billing, invoicing, trust/IOLTA, and ledger features. These are tools to assist your practice. You remain responsible for compliance with all applicable trust-accounting rules, bar requirements, and tax and financial obligations. The Service does not provide accounting, tax, or financial advice.

Fees for the Service, if any, are set out in the applicable order form or subscription plan and are due as described there. Taxes are your responsibility unless otherwise stated.

7. Third-party services and integrations

The Service may integrate with third-party services (for example, payment processing, accounting, e-signature, and document systems). Your use of those services is governed by their own terms and privacy practices, and Rose Tech HQ is not responsible for third-party services.

8. Intellectual property

Rose Tech HQ and its licensors own all right, title, and interest in the Service, including all software, designs, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription. We may use aggregated, de-identified data that does not identify you or any client to operate and improve the Service.

9. Security and compliance

Rose Tech HQ maintains administrative, technical, and organizational safeguards designed to protect Customer Data, described further in our Trust Center. Our compliance program and certifications (including SOC 2 Type II, HIPAA readiness, and ISO 27001) are at the status stated on the Trust Center and may be in progress. Where we process protected health information on your behalf and a business associate agreement is required, one is available on request.

10. Term, termination, and data export

These Terms apply while you use the Service. Either party may terminate as provided in the applicable order form or, absent one, on reasonable notice. On termination, your right to use the Service ends. For a reasonable period following termination, we will make Customer Data available for export in a commonly used format, after which we may delete it in the ordinary course, subject to legal retention requirements.

11. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ROSE TECH HQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-ASSISTED OUTPUTS WILL BE ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. ROSE TECH HQ'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Rose Tech HQ from claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of law or the rights of a third party, except to the extent caused by Rose Tech HQ.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located there, unless a signed agreement specifies arbitration or another venue.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date and, where appropriate, communicated to account administrators. Continued use of the Service after changes take effect constitutes acceptance.
